What are Official Seals (Chops)?

In China, official seals, commonly known as chops, serve as legally recognized authentication tools used by businesses, government agencies, and individuals to validate documents. Unlike Western countries, where handwritten signatures are widely used, Chinese companies rely on official chops to sign contracts, process financial transactions, and issue invoices.

There are several types of official seals in China, including:

  • Company Chop: The most critical seal, used for all major business decisions and legal documents.
  • Financial Chop: Used for banking transactions, including opening corporate accounts and authorizing financial documents.
  • Invoice (Fapiao) Chop: Required for issuing tax invoices to customers and suppliers.
  • Legal Representative Chop: Used by the company’s designated legal representative for formal approvals.
  • Contract Chop: Used for signing commercial agreements and contracts with suppliers and partners.

Relevance in China

Company chops hold greater legal authority than handwritten signatures. Without the appropriate seals, businesses may:

  • Be unable to sign legally binding contracts.
  • Face difficulties in opening and managing bank accounts.
  • Experience tax filing challenges due to missing invoice seals (fapiao chops).
  • Risk fraud or unauthorized transactions if chops are not securely managed.

How to Obtain and Use Official Seals in China

  1. Register the Business and Apply for Official Chops
  2. Obtain Seals from a Government-Approved Bureau
    • Official chops must be issued and approved by the local Public Security Bureau (PSB).
  3. Secure Company Chops to Prevent Unauthorized Use
    • Many businesses store chops in locked safes and assign usage rights to designated employees.
  4. Use the Correct Chop for Each Transaction
    • The appropriate seal must be used for contracts, tax filings, and banking transactions.
  5. Report Lost or Stolen Chops Immediately
    • If a chop is lost, the company must notify the PSB and apply for a replacement to prevent fraudulent activity.
