What is a Legal Representative?

A Legal Representative is the highest-ranking executive in a China-registered company, holding legal authority to act on behalf of the business. Every company in China, including WFOEs, JVs, and Representative Offices, is required to appoint a Legal Representative, whose name appears on the China Business License.

The Legal Representative is responsible for signing contracts, making executive decisions, and ensuring compliance with Chinese laws. However, this position also carries legal liability, meaning the individual can be held personally accountable for violations such as tax fraud, regulatory non-compliance, or labor disputes.

Relevance in China

The role of a Legal Representative is significant because they:

  • Have signing authority over legal documents, financial agreements, and corporate contracts.
  • Are accountable for company actions, including regulatory and tax compliance.
  • Must ensure that the company follows China’s business laws, or they may face financial penalties and legal consequences.
  • Can be personally liable in cases of company misconduct, including fines, travel restrictions, or even criminal charges.

Choosing the right Legal Representative is crucial for foreign investors entering the Chinese market. Many companies prefer to appoint local professionals with a deep understanding of Chinese regulations to mitigate risks.

How to Appoint a Legal Representative in China

  1. Select a qualified individual
    • The Legal Representative can be a foreign national or a Chinese citizen but must be a company executive.
  2. Register with the Administration for Market Regulation (AMR)
    • Submit the Legal Representative’s details in company registration documents during incorporation.
  3. Obtain a company chop (seal)
    • The Legal Representative is responsible for the company seal, which is required for signing official documents.
  4. Ensure compliance with Chinese regulations
    • The Legal Representative should work with legal and financial advisors to ensure tax and labor law compliance.
  5. Monitor risks and liabilities
    • If the company is involved in a tax dispute or legal case, the Legal Representative may face personal legal consequences.
