What is Joint-Stock Limited Company?
A Joint-Stock Limited Company (JSC) is one of the two recognized company types under China’s Company Law (amended in 2023, effective July 1, 2024) — the other being the Limited Liability Company (LLC).
A JSC divides its registered capital into equal shares. Shareholders are liable only up to the value of their subscribed shares, and the company bears full liability for its debts with its own assets.
This structure provides clear ownership transparency, higher governance standards, and flexibility for fundraising or future listing, making it ideal for large-scale or long-term foreign operations in China.

WFOE? Not Anymore!
With the implementation of the Foreign Investment Law of the PRC, all foreign-invested enterprises are now governed by the unified Company Law, meaning that traditional structures such as WFOE (Wholly Foreign-Owned Enterprise) and JV (Joint Venture) have been integrated into the new framework:
A former WFOE is now legally a Limited Liability Company with 100% foreign ownership.
A former JV (equity or cooperative) is now either an LLC or JSC, depending on its shareholding structure.

JSC FAQs
What is the LLC equivalent in China?
A Limited Liability Company (LLC). It’s the most common form for privately held entities and is today’s legal successor to the former “WFOE”.
What is a Joint-Stock Limited Company (JSC)?
A company whose capital is divided into equal shares; shareholders have limited liability to the amount subscribed. It offers stronger fundraising and equity-transfer mechanics than an LLC.
Who owns a JSC?
Shareholders own it in proportion to their shares. The company is a separate legal person, distinct from shareholders.
Can a JSC be privately held?
Yes. Listing is optional. Many JSCs remain private; the form simply enables easier future capital actions.
LLC vs JSC — what’s the difference?
LLC: simpler setup, fewer owners, quotas (not freely tradable), lighter governance.
JSC: share-based, transferable equity, board/supervisory structure, better for financing/IPO.
Advantages of a JSC in China
- Flexible capital raising (share issuance, multiple rounds)
- Transferable equity (M&A/IPO-ready)
- Investor-grade governance (board, committees)
Disadvantages of a JSC
- Higher setup and compliance burden than an LLC
- More formal governance and disclosure expectations
Does China require a joint venture?
No. JV is not mandatory. A JV is needed only where the industry is restricted and requires a Chinese partner; otherwise 100% foreign ownership is allowed.
Can you own 100% of a company in China?
Yes—if the activity is not on the Negative List. In that case, you may set up a 100% foreign-owned LLC or (where suitable) a JSC.
Difference between a JSC and a partnership
JSC: separate legal person; limited liability; share structure.
Partnership: pass-through style; general partners may bear unlimited liability; not designed for public share issuance.
Does a JSC have separate legal entity status?
Yes. It can own assets, sign contracts, sue/be sued independently.
How are profits distributed in a JSC?
Typically pro-rata by shares after setting aside statutory reserves and covering losses, subject to the Articles of Association.
Can a JSC be dissolved?
Yes—e.g., term expiry, shareholders’ resolution, merger/split, license revocation, or court ruling—followed by liquidation.
What counts as the “certificate of incorporation” in China?
The Business License is issued by the AMR. It’s the definitive proof of incorporation.
What company types exist in China?
LLC, JSC, Partnerships (general/limited), and RO/Branches.
ROs are not legal entities and cannot conduct revenue-generating business or directly hire/pay PRC employees (without an EOR).
What is the management structure of a JSC?
Shareholders’ meeting at the top; then Board of Directors (or eligible alternatives) and Supervisory Board / Audit Committee—with some simplified options for smaller JSCs.
