What is a Representative Office?

A Representative Office (RO) is a liaison office established by a foreign company in China to conduct non-commercial activities such as market research, public relations, and business coordination. Unlike Wholly Foreign-Owned Enterprises (WFOEs) or Joint Ventures (JVs), an RO cannot engage in direct business transactions or generate revenue.

ROs are commonly used by foreign firms exploring the Chinese market before making a larger investment. However, they are subject to strict limitations and tax obligations, making them a less flexible option for long-term operations.

Relevance in China

Foreign companies often set up ROs for:

  • Market research and feasibility studies: Understanding China’s consumer landscape before committing to full business operations.
  • Liaison and business development: Establishing relationships with local suppliers, distributors, and clients.
  • Brand promotion and public relations: Conducting marketing activities without direct sales transactions.
  • Lower operational costs: Compared to WFOEs, ROs have fewer registration requirements.

However, ROs have significant restrictions:

  • Cannot issue invoices (fapiaos) or generate revenue.
  • Subject to tax on operational expenses, even though they don’t make a profit.
  • Limited hiring options, as ROs must hire employees through authorized Chinese employment agencies.

How to Establish a Representative Office in China

  1. Obtain approval from the AMR
    • Submit the parent company’s business license, proof of legitimacy, and intended RO activities.
  2. Appoint a Chief Representative
    • The company must designate a Chief Representative to manage operations.
  3. Secure an official office location
    • ROs must have a registered physical address in China.
  4. Register with the tax authorities
    • Even though ROs don’t generate revenue, they are taxed on their operating expenses.
  5. Comply with annual reporting requirements
    • ROs must submit annual compliance reports to maintain legal standing.
